This Agreement is made and entered into by and between:
- MASQ Business Solutions Pvt Ltd, operating the real estate platform PropertyManzil.pk, hereinafter referred to as “The Platform”; and
- The user registering on PropertyManzil.pk to list their property, hereinafter referred to as “The Client”.
WHEREAS The Platform is engaged in the business of providing online real estate listing services to assist property owners in marketing and selling/renting their properties;
AND WHEREAS The Client desires to list their property/properties on The Platform;
NOW, THEREFORE, by agreeing to this Agreement, the parties agree as follows:
1. Property Listing Services
The Platform agrees to provide the following services:
1.1 Hosting the property details on the PropertyManzil.pk website and mobile application.
1.2 Marketing the property through digital platforms, including social media and email campaigns, as deemed appropriate.
1.3 Providing optional additional services (e.g., professional photography, property valuation) subject to additional charges.
2. Client Responsibilities
The Client agrees to:
2.1 Provide accurate, truthful, and complete information about the property, including but not limited to ownership documents, property details, and photographs.
2.2 Ensure that the property is free from legal disputes or encumbrances that may affect its sale or rental.
2.3 Notify The Platform immediately if the property is sold, rented, or withdrawn from the market.
3. Term and Termination
3.1 This Agreement shall commence upon The Client’s acceptance of the terms and remain in effect until terminated by either party.
3.2 Either party may terminate this Agreement by providing written notice of at least 7 days.
3.3 The Platform reserves the right to terminate this Agreement immediately if The Client breaches any terms or provides misleading or fraudulent information.
4. Compliance with Laws
4.1 The Client affirms that they are the rightful owner or authorized representative of the property and that all activities under this Agreement comply with the laws of Pakistan, including but not limited to the Transfer of Property Act, 1882, and other relevant legislation.
4.2 The Platform shall not be liable for any legal disputes arising from false or incomplete information provided by The Client.
5. Limitation of Liability
5.1 The Platform acts solely as a marketing intermediary and is not responsible for the verification of property ownership or the execution of transactions between The Client and prospective buyers/tenants.
5.2 The Platform shall not be held liable for any claims, losses, or damages resulting from disputes, delays, or issues arising from the property transaction.
6. Intellectual Property
6.1 All content, including photographs, descriptions, and other materials uploaded to The Platform, may be used by The Platform for marketing and promotional purposes.
6.2 The Client affirms that they have the right to share all uploaded content and that such content does not infringe upon the intellectual property rights of any third party.
7. Confidentiality
7.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this Agreement.
7.2 The Platform will not disclose The Client’s personal information to third parties without prior consent, except as required by law.
8. Governing Law and Dispute Resolution
8.1 This Agreement shall be governed by and construed in accordance with the laws of Pakistan.
8.2 Any disputes arising under this Agreement shall be resolved amicably. If no resolution is reached, the dispute shall be referred to arbitration in accordance with the Arbitration Act, 1940.
9. Entire Agreement
9.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter hereof.
9.2 Any amendments to this Agreement must be made in writing and communicated electronically.
